甲、乙双方依据《中华人民共和国民法典》及其他有关法律法规的规定，在平等、自愿、协商一致的基础上，就买卖汽车事宜，订立本合同。
In accordance with the Civil Code of the People's Republic of China and other relevant laws and regulations, party A and Party B through consultation enter into this Contract for the sale of automobiles on the basis of equality, voluntary agreement and consensus.
第三条 付款方式
Article 3 Mode of payment
乙方选择下述第____ 种方式付款，并按该方式所定时间如期足额将车款支付给甲方。
Party B chooses the following method of payment ____ and effects payment in full, to Party A, of the vehicle on time as set out in the said method.
1. 直接付款方式：
1. Direct payment method:
签订本合同后乙方应于_____年____月____日前向甲方付清合同价款，计人民币____元（大写 ____元）。
Party B shall, upon conclusion of this Contract, effect payment of the contract price to Party A prior to ___ day ___ month ____ year, for the amount of RMB ____ Yuan (in word ____Yuan).

（3）乙方如需甲方提供*款贷**事项的相关服务，由甲乙双方另行签订《*款贷**购车事项委托协议》。
(3) Where Party B needs Party A to provide relevant services for the loan matters, Party A and Party B shall enter into a separate the Entrusted Agreement of Loan for Car Purchase.
第四条 质量 Article 4 Quality
1. 甲方向乙方出售的车辆，应当不存在危及人身、财产安全的不合理的危险，符合保障人体健康和人身、财产安全的国家标准、行业标准，具备产品应当具备的使用性能等，符合注明采用的产品标准，符合以产品、实物样品等方式表明的质量状况，符合出厂检验标准，符合安全驾驶和说明书载明的使用要求，双方另有约定的情形除外。
1. The vehicle sold by Party A to Party B shall be free from unreasonable danger which endangers the safety of persons and property, comply with the State’s standards and industry standards for the protection of human health and the safety of persons and property, have the performance which the product should have for use, etc., comply with the product standards indicated as adopted, comply with the quality condition indicated by the product, physical samples, etc., comply with the factory inspection standards, and comply with safe driving and manual, the requirements for use as set out in the manual, unless otherwise agreed by the parties.
2. 甲方向乙方出售的车辆，必须是经国家有关部门公布、备案的汽车产品公告上的产品或合法进口的产品，并符合公安交通管理部门关于机动车辆的注册登记条件。
2. The vehicles sold by Party A to Party B should be the products on the vehicle product bulletin published and filed by the State’s relevant departments or legally imported products, and meet the registration conditions of the public security traffic management authority on motor vehicles.
3. 甲方保证向乙方出售的车辆，在交付前已作必要的检查和清洁，并按生产厂的技术要求完成交车前检查（PDI/PDS）并排除已发现的汽车故障或瑕疵。
3. The Party A warrant that the vehicle sold to Party B, prior to delivery, has been inspected and cleaned as necessary and the pre-delivery inspection (PDI/PDS) has been completed in accordance with the technical requirements of the manufacturer and any faults or defects found in the vehicle have been removed.
第五条 交车时间与地点、交付及验收方式

5. 甲方在向乙方交付车辆时须同时提供：
5. The following documents shall, at the time of delivery of the vehicle, be provided by the Party A to the Party B.
（1）销售发票。 (1) Sales invoice.
（2）（国产车）车辆合格证/（*口车进**）海关进口证明、商品检验单及车辆一致性证书。
(2) (Domestic vehicles) Vehicle’s Certificate of Conformity / (Imported vehicles) Customs Import Certificate, Commodity Inspection Certificate and Vehicle Conformity Certificate.
（3）三包凭证（家用汽车）、维修保养手册、修理网点信息。
(3) The Certificate for three-guarantee service (for domestic cars), maintenance manual, repair outlet information.
（4）车辆使用说明书或用户使用手册。
(4) Vehicle instruction manual or user manual.
（5）随车工具及备件清单。
(5) List of tools and spare parts accompanying the vehicle.
6. 车辆交接时应当场验收，乙方应对所购车辆外观、内饰、配置、随车物件和使用功能等进行认真查验，如有异议，应当场向甲方提出，由甲方按照双方协商的方式处理。
6. The handover of the vehicle should be subject to the acceptance on the spot. Party B shall carefully check the appearance, interior decoration, configuration, accompanying objects and use functions of the purchased vehicle, etc. and its any objection shall, on the spot, be put forward to Party A which shall handle it pursuant to the method agreed by the parties.
2. 乙方不能按时支付车款的，自延期之日起至实际付款日止，每日按逾期应付款的_____%。向甲方支付违约金，最高不超过合同总价款的_____%。延期付款超过1个月（也可双方协商期限）的，甲方有权解除合同。
2. Party B shall be charged the overdue amount at daily rate of _____% for its failure of payment for the vehicle on time from the date of extension until the actual date of payment. The liquidated damages paid to Party A shall not exceed _____% of the total contract price. Where payment is delayed for more than one month (or a mutually agreed period), Party A has the right to terminate the contract.
3. 如果乙方不按时验收接车，且经甲方通知后超过1个月（也可双方协商期限）仍未验收接车的，甲方有权解除合同。
3. Where Party B does not accept the vehicle on time and fails to do so for more than one month upon notification by Party A (or by mutual agreement), Party A has the right to terminate the contract.
4. 甲、乙双方因不可抗力不能履行本合同的，根据不可抗力的影响部分或者全部免除责任，但法律另有规定的除外。甲、乙双方迟延履行后发生不可抗力的，不能免除责任。
4. Where the parties A and B are unable to perform this contract due to force majeure, they shall be partially or fully exempted from liability in accordance with the effects of force majeure, unless otherwise provided by law. Nothing of liabilities may be exempted subsequent to delayed performance by the parties for occurrence of force majeure.
