This Contract is made between the Seller and the Buyer for HMS 1& 2 steel scrap, whereas the Buyer agrees to buy and the Seller agrees to sell the Commodity on the following terms and conditions.
买卖双方签订本合同并同意按照下述条款购买/出售HMS 1&2废钢。
The Contract is made and entered into on this date of ___ day ___ month ____ year

The following signed Contract is a document that is legally binding and enforceable under International Law and ICC Rules and Regulation, including Non Circumvention and Non Disclosure.
以下签订的合同是一份依照国际法和ICC (国际商会)有关规章制度,包括避免合同绕过与泄漏的条款,实施并具有法律约束力的文件。
WHEREAS 鉴于
(a) The Seller with full corporate authority, makes an Irrevocable Firm commitment to sell the commodity on CRF terms, hereby certifies, represents and warrants, that it can fulfill the requirement of this Contract and provide the commodity herein mentioned and under the terms and conditions specified and agreed upon by signatories hereafter.
卖方以完全的法*权人**利,做出不可撤回的确定承诺,以成本加运输加保险价(CRF)出售本商品,在此证明、表示、并担保,它能履行本合同上的要求并且能够按以下签字人所同意的指定条款提供本协议中所提到的商品。

(b) The Buyer hereby agrees and makes an Irrevocable commitment to purchase the commodity with terms and conditions as follows:

Article 1. Commodity 第一条 商品
1.1. Heavy Melting Steel Scrap (HMS 1 - 80% and HMS 2 - 20%).
废钢 ( 1 号废钢 80% 及 2 号废钢 20% )
1.2. The scrap consists out of Ship Steel Scrap including and not limited to Ship plates, Ship beams, Ship Structural steel & also used rails.
废钢由造船废钢组成,包括但不限於造船钢板、船横梁、船结构型钢,还有废弃的路轨钢。
1.3.Quality of Ship Scrap: Clean ship scrap without slag, dross, trash, wood, plastic, oily parts, grease, alloy, prohibited goods, no machine, engines of ship, and even not usable parts of machines, also prohibited from war and explosive or armour plated materials, excessive rust, corrosion, dust ad dirt, mud or waste and maximum harmless impurities is less than 0.1%. Ship Scrap is without harmful impurities and totally free of any type of explosives, sealed containers or tanks or envelops, gas cylinders, explosive materials, etc. Ship Scrap is also totally free of radioactive contamination and poisonous materials.
此批废钢之品质:包括已清洁的船舶废纲,不含矿渣、溶渣、碎屑、木头、含油物、油脂、合金、禁售物品、机器、发动机、不能使用之机械零件、过量的锈、腐蚀件、尘垢、泥泞及垃圾;非有害杂质的最高含量为0.1%。另外,此批废钢亦不包含任何有害杂质及完全没有任何种类的爆炸品、密封容器、高压气筒、易引爆的材料、放射性污染品及有毒物质。
Article 2. Specifications 第二条 规格
2.1. Steel scrap defined as HMS 1 & 2 in an 80/20 mix under ISRI codes 200 through 206 and Rail scrap under ISRI 200-206 as defined in the contract.
根据ISRI(废钢回收业协会)准则 200 至 206 ,此废钢合同包括1号废钢80%及2号废钢20%;另外根据ISRI 200 至 206 ,此废钢合同同时包括废路轨钢。
2.2. Free of Contamination, radiation and explosives.
此废钢不包含任何污染物、放射性物质及爆炸品。
2.3. Wrought iron and/or steel scrap ? inch or steel scrap ? inch and over in thickness. Individual pieces not over 60 x 24 inches (charging box size) prepared in a manner to insure compact charging.
废钢 – 最少1/4寸厚的熟铁和/或废钢 或 1/4寸厚的废钢,每件尺寸不大於 60 x 24 寸 (装料箱尺寸),以保证紧密装箱的方式准备好。
Article 3. Quantity 第三条 数量
3.1. Total amount: 480,000 Metric Tons (+/- 10%). 总量:480,000 公吨 (+/- 10%)
3.2. Per shipment: 40,000 Metric Tons (+/- 10%) x 12 Shipments.
每批货:40,000 公吨 (+/- 10%) x 12 船
Article 4. Origin and Port(s) of Loading

4.1. Origin: Russia and CIS 来源:俄罗斯及独联体
4.2. Loading Port: Novorossiysk Port or Tuapse Port on Black Sea.

6.1. First shipment 40,000 MT (+/- 10%) according to the each contract.
根据合同,第一船数量为 40,000 吨 (+/- 10%)
6.2. First shipment of material will be shipped within maximum of 40~60 days from the receipt of workable L/C at seller’s bank counter.
第一船将於卖方银行收到买方发出的信用证并证实其可靠性的 40 – 60 天内发货,数量为 40,000 吨 (+/- 10%)
6.3. Shipment to be made in intervals of every 30 days. 其余货每隔 30 天发一次

7.1. Unit Price: US$191.00 Per Metric Ton CRF, HungPu, China

7.2. Total value of single shipment $ 7,640,000.00 (+/- 10%).
每船总值:7,640,000.00美元 (+/- 10%)
7.3. Total Value of this Contract is USD 91,680,000.00 (+/- 10%) (United States Dollars: Eighty-seven Million Three Hundred and Sixty Thousand Only).
合同总值:91,680,000.00美元 (+/- 10%) (玖仟壹佰陆拾捌万美元正)
Article 8. Destinations and Discharge
第八条 目的地及卸货
8.1. Destination port of China
目的地:中国 港
8.2. Prior to departure of the carrying vessel at loading port the Seller shall send the Buyer by Fax and/or e-mail the Notification of Shipment for each Consignments within 72 (seventy-two) hours, including Contract Number, L/C number, expected loading quantity, estimated time of departure of carrying vessel, and the vessels particulars such as vessels name, capacity of the cranes, number of holds, flag and position etc. for the Buyer to make necessary arrangements. The Seller shall immediately notify the Buyer of any change to the delivery date that has been previously notified.
於货船驶离装货港口之前 72 小时内,卖方要用传真及/或电邮知会买方有关之货运通知书,包括合同号、信用证号、预计装货数量、预计航运时间、船名、吊车可承受量、船舱数目、旗及位置等,以便买方进行有关安排,如於付货中有日期任何更改,卖方必需立刻知会买方。
8.3. The buyer has the right to send their representative to the loading port(s) to observe the inspection and loading operation of the scrap steel during the contract.
买方有权派代表到装货码头观察此批废钢的检验及装货过程。
8.4. Marine Insurance: To be covered by the Seller.
海上保险:由卖方负责
8.5. Upon completion of the loading, the Seller shall send the Buyer the Shipping Advice of the contract number, name of the commodity, weight, and invoice value, name of the carrying vessel, B/L number and date, and estimated date of arrival [ETA] at port of discharge by fax and/or e-mail within three (3) working days from B/L date.
完成装货後,在离提单日期 3 个工作天之内,卖方必需透过传真及/或电邮把发货通知包括合同号、货品名称、重量、发票总值、货轮名称、提单号、日期及预计到岸日期。
8.6. The seller shall arrange for the Master of the carrying vessel to give 72/36/24 hours Notice of vessel’s ETA (estimated time of arrival) at port of unloading to Buyer or Buyer’s agent at the port of discharge. Such notices are given during office hours only, WIPON, WIBON, WIFFTON, WCCON.
卖方应当安排货船船长向买方或卖方在卸货港口的代理人发出离卸货港预计时间 72/36/24 小时的通知。以下的通知只在上班时间发出,说明是否入港口,是否停泊,是否清关和 WIFFTON。
8.7. Lay time to commence from 1:00 PM, if vessel's notice of readiness to unload is given before noon, and before from 8:00 AM next working day, if notice is given after noon.
如果船只准备卸货的通知在中午之前发出,装卸时间就从下午 1 时开始,如果通知在午後发出,则从第二个工作日的早上开始。
8.8. The Buyer to provide one good and safe berth for discharging, which is available on vessels arrival, always accessible, where the vessel can safely berth alongside and lie always afloat. 买方要提供一个良好安全的泊位以供卸货,让货船一但到达就能进入并始终能安全的停靠和漂浮。
8.9. Shall the vessel be required to shift from one berth to another at port of unloading; time used in shifting shall not count as lay time; however, the cost of shifting shall be to the Buyers account. 如果船只需要从卸货港一个泊位换到另一个泊位;用於换泊位的时间将不计在卸货时间中;然而,换泊位的费用应当由买方承担。
8.10. Discharging rate will be at 24 hours on sunny day 1,500 metric tons per weather working day, Sundays and holidays excluded even if used.
卸货率在晴天要达到每工作日(以24小时计) 1500公吨,周日和节假日即使使用了也不计在内。
8.11. Sundays and Holidays will not be counted as Demurrage. Time will not be counted as lay time due to heavy rain, snow and storm.
周日和节假日将不计作滞期。暴雨、下雪、和风暴亦不计在卸载时间内。
8.12. Demurrage is 4,000.00 U.S. Dollars (Four Thousand USD) per day and dispatch is 2,500.00 U.S Dollars (Two Thousand Five Hundred USD) per day. Demurrage/dispatch to be settled between the Buyer and the Seller against Notice of Readiness (NOR) and Statement of Facts (SOF) within 05 (five) working days after FROM THE RECEIPT OF VESSEL’S Master commercial invoice.
滞期费为每天 4,000美元,速遗费为每天 2,500美元。滞期费/ 速遗费在货船船长商业发票收据发出之後 5 天之内由买方和卖方根据装卸准备就绪通知书和事实申明解决。
Article 9. Payment 第九条 付款
9.1. Payments to be made by Transferable, Irrevocable, Divisible, Revolving, Confirmed documentary Letter of Credit, Payable 100 % at sight negotiable through any Bank against full set of shipping documents.
付款以可转让的、不可撤回的、可分割的、循环的、保兑信用证形式,信用证为即期 100% 支付,并根据完整的运输文件能在任何银行转让。
9.2. Seller shall open Non-operative Bank Performance Bond amounting to 2% of the L/C value favouring the Buyer within 8 banking days after receipt of Buyer’s non-operative LC.
在收到买方的预先通知信用证後 8 个银行工作日内,发出以买方为受益人的保证金,金额是信用证的 2%。保证金有效期和信用证相同。
9.3. The Buyer shall open (transfer) such L/C for each shipment within five (5) banking days from the date of signing on this contract.
买方必须於完成签署此合同 5 个银行工作天内开出信用证。
9.4. L/C will be operative upon receipt of seller’s P-Bond
这个信用证在收到买方的保证金时即生效。
9.5. L/C and PBG will be operative simultaneously.
信用证和保证金将同时生效。
9.6. Separate L/C shall be opened for each shipment. 个别信用证需於每船期发出。
9.7. The Letter of Credit will be in conformity with rules of UCP code 500, 1993 revision, and subsequent amendment as on date.
此信用证应遵照1993版的《信用证统一惯例500条》的有关规定及其後续新的修订版。
9.8. L/C for second and subsequent shipments shall be opened within 5 days upon receipt of Seller’s shipping documents from its preceding LC.
买方应当在收到卖方关於上次信用证的运输文件後 5 日内为第二及後续的运输开具信用证。
9.9. All associated Banking Fees of Letter of Credit at sight from L/C opening Bank is at Buyer’s account.
所有信用证开户银行票面上开出的所有与信用证相关的费用都应由买方负责。
9.10. All fees assessed by Seller’s Bank shall be on Seller’s account.
所有由卖方银行评估的费用应由卖方负责。
9.11. L/C should be confirmed by one of 50 world prime banks.
信用证必须由世界50大银行中的银行批核。
