CONTRACT FOR ASSEMBLING OF DIGITAL CAMARA
甲方：日本某相机制造公司 (下称：甲方)
Party A: The manufacturer of Digital Camera (hereinafter called Party A)

本协议由地址在日本东京的某相机制造公司与中国的某无线电厂签订，按照下列条款，甲方委托乙方采用甲方提供的必需零件和材料在南京组装数码照相机。
This Agreement is entered into by the manufacturer of digital camera in Tokyo Japan and the manufacturer of wireless products in China. Party A shall entrusts party B with the manufacturing of digital camera with all necessary parts and materials supplied by Party A under the terms and conditions specified as follows:
1、加工的商品、数量和包装要求
Commodity and Quantities for Processing Commodity and packaging requirements
商品：数码照相机 Products: Digital Camera
数量：总数为壹万台，分为两个型号。
Quantity: 10,000 sets in total with two models.
包装：聚乙烯袋包装，然后每一纸盒装一台，10纸盒装一出口纸箱。
Packing: One set is to be packed in a poly bag, and then packed in a paper box; 10 paper boxes are to be packed in an export car-ton.
2、组装加工费
Processing charges
型号：A1型数码照相机每台加工组装费为：100美元；
The processing charge for Model A1 is 100 US Dollar;
型号：A2型数码照相机每台加工组装费为：120美元；
The processing charge for Model A2 is 120 US Dollar;
3、零件和材料Parts and Materials
3.1 加工所需要的零件和物料由甲方运到南京，倘若零件和物料短缺或损坏，甲方负责补齐或更换。
The parts, consumption articles and materials required for processing will be sent to Nanjing by Party A, and if there is any shortage or breakage of these parts and materials, Party A shall be held responsible for supplying additional replacements.
3.2甲方向乙方提供组装两个型号的10，000台数码照相机所需的全部零件和材料，均按本协议所附清单办理。
All necessary parts and materials for assembling 10,000 sets in total with two models supplied by Party A to Party B are as per the list attached hereto.
3.3若零件或材料型号误发，乙方应该向甲方退还全部错发货物，费用由甲方负担。
Should a wrong shipment of materials or parts be sent by party A, Party B shall return to Party A for complete replacement at the expense of Party A.
3.4乙方必须严格按照甲方规定的设计，使用甲方提供的零件和材料，加工组装数码照相机。
All parts and materials supplied by Party A for assembling camera shall be processed by Party B strictly according to the design specified by Party A.
4、付款 Payments
在成品装运前一个月，甲方以信用证或电汇支付乙方全部加工费用。
Party A shall pay Party B by L/C or T/T covering the full amount of processing charges one month before the shipment of the finished products concerned.
5、装运 Shipment
乙方必须在双方约定的时间内完成数码照相机的加工组装和交货，但若发生不可抗力事故时除外（关于装运的详细规定请见附录1）。
Party B must complete the assembling of all digital cameras and effect shipment within the date mutually agreed by the two parties without any delay unless any unforeseen circumstance occurs which is beyond control. (For details, see Appendix 1)
6、零件和材料的损坏率
Damage rate of parts and materials
在加工中，零件和材料的损坏率是2 ％，此部分零件和材料由甲方供应。若损坏率超过2％，则超额部分的零件和材料费用由乙方承担。
The damage rate of parts and materials in processing is allowed within 2 % and such a rate of spare parts and materials shall be supplied free by Party A. Should the damage rate surpass 2 % , Party B shall bear the costs of the expense surpassing such.
7、技术服务Technical Service
若乙方需要，甲方同意随时派遣技术人员到中国帮助培训乙方技术人员，并该技术人员留在乙方检验成品。
Party A agrees to dispatch technicians to China to help train the technicians of Party B at the request of the latter at anytime and allows the said technicians to remain with Party B for inspection of finished products.
8、进出口手续
Procedures of import and export
有关本协议的进出口手续由乙方同中华人民共和国政府办理。
All import and export procedures in connection with this con-tract shall be taken by Party B with the government of PRC.
乙方根据甲方的指示把全部数码照相机发运到国外买主，甲方承担由此所发生的一切费用。
All Digital Camera processed by Party B shall be shipped to the foreign buyers appointed by Party A according to instructions given by Party A in due time, and the expenses occurred therein shall be borne by Party A.
9、保险Insurance
甲方负责对材料和成品保险。若甲方要求，乙方可代为保险，甲方负担费用。
Party A shall insurance both the materials and finished products. Or upon Party A's request, Party B will attend to the insurance at Party A's expenses.
10、仲裁 Arbitration
凡因执行本合同所发上的或与合同有关的一切争议，双方应友好协商解决。如果协商不能解决应提交中国国际经济贸易仲裁委员会进行仲裁的、仲裁裁决是终局的，对双方都有约束力。仲裁费用除另有裁决外由败诉一方承担。
All disputes in connection with the contract or the execution thereof, shall be settled amicable by negotiation. In case no settlement can be reached, the case under dispute may then be submitted to the “China International Economic and Trade Arbitration Commission” for arbitration. The decision made by the Commission shall be accepted as final binding upon both parties for setting the dispute. The fees, for arbitration shall be borne by the losing party unless otherwise awarded.
11、其他条款 Miscellaneous
11.1 数码照相机的商标全部由甲方提供，若发生违法事件，甲方对其承担全部法律责任。
The trademarks of Digital Camera will be supplied by Party A and should there be any illegal involvement, Party A is to be held fully responsible.
11.2 若需要在中国购买零件和材料，其质量必须符合标准，并须经甲方同意。
All the parts and materials, if necessary, purchased in China by Party B for Digital Camera, their quality must measure up to standards and be approved by Party A beforehand.
11.3附件1是本协议的不可分割部分。
Appendix 1 is an integral part of this contract.
11.4本协议一式2份，甲、乙双方各执一份。
This contract is made in duplicate and Party A and Party B retain one copy respectively.
