根据《中华人民共和国对外贸易法》、《中华人民共和国民法典》及其他相关法律法规，甲乙双方就代理进口货物事宜，本着互利互惠的原则，经友好协商，达成协议如下：
In accordance with the Foreign Trade Law of the People's Republic of China, the Civil Code of the People's Republic of China and other relevant laws and regulations, the parties hereto, through friendly consultation on the basis of the principle of mutual benefit and reciprocity, have reached the following agreement on the import agency of goods:
第一条 总则
Article 1. General Provisions
1.1 本协议是甲乙双方为建立长期的进口代理关系而签订。乙方根据甲方的委托，从境外供货商进口附件一所述货物，并提供所述货物之物流服务。
1.1 This Agreement is entered into between Party A and Party B for the purpose of establishing a long-term import agency relationship. Party B is entrusted by Party A with the import of the goods described in Annex I from overseas suppliers and with the provision of logistics services for the said goods.
1.2 本协议未约定的具体代理事宜按照本协议附件规定执行，双方可以根据具体情况，在协商一致的条件下对附件一进行变更。
1.2 The Specific agency matters not agreed upon herein shall be effected in accordance with the provisions of the Annex hereto, which may be varied by the Parties, as the case may be, subject to consensus.
1.3本协议未尽事宜，双方应首先根据上述法律及双方在签订协议时达成的基本原则协商解决。
1.3 Any outstanding issue covered by this Agreement shall first be resolved by agreement between the Parties in accordance with the aforementioned laws and the basic principles agreed between the Parties at the time of signing the Agreement.
第二条 进口代理
Article 2 Import agent
2.1甲方就每批货物编制委托单（委托单是指甲方向乙方发出的委托进口货物确认单、订单、发票、采购合同等具有明确的货物名称、数量、单价的文件），列明每批进口货物的产品名称、规格型号、数量、进口单价、产地、装箱情况、要求的交货期等信息。甲方委托乙方代理进口之货物以委托单为准，并于境外供货商发货期前两个工作日交给乙方，以便乙方办理货物进口的相关手续及做好相关准备工作。
2.1 Party A shall, for each batch of goods, prepare an order form (the order form is the document with definite name, quantity and unit price of the goods, such as confirmation of order, invoice and purchase contract issued by Party A to Party B), stating the product name, specification, quantity, import unit price, origin, packing condition and required delivery date of each batch of imported goods. The imported goods entrusted by Party A to Party B as agent shall be subject to the order form and shall, on two working days prior to the shipment date of the overseas supplier, be delivered to Party B, so that Party B can handle the relevant procedures and make preparations for the import of the goods.
2.2甲方向乙方发出委托单的，视为甲方同意委托乙方代理该等进口事宜并依本协议履行义务；乙方可以根据自身情况决定是否接受甲方的委托。
2.2 Party A’s issuance of the order to Party B shall be deemed to have agreed to entrust Party B to act as agent for such importation and to perform its obligations in accordance herewith; Party B may, pursuant to its own circumstances, decide whether to accept Party A's entrustment.
2.3从甲方指定电子邮箱、传真或其它网络通信工具发至乙方的委托单等信息均视为甲方同意委托乙方依据本协议约定代理该委托事项，乙方根据该委托单履行代理行为。
2.3 Any information sent to Party B from Party A's designated email address, fax or other network communication tools, such as a commission order, shall be deemed to be Party A's agreement to entrust Party B to act as its agent for such commission issues in accordance with this Agreement, and Party B shall perform the act of commission in accordance with such commission order.
第三条 甲方的义务、责任
Article 3 Party A's obligations and responsibilities
3.1 甲方依照本协议及委托单的约定承担其作为委托方的义务。
3.1 Party A shall assume its obligations as the entrusting party in accordance with this Agreement and the commission order.
3.2 甲方应及时按照乙方的要求向其提供有关代理进口货物所需的单证及信息资料。
3.2 Party A shall provide timely Party B with the documents and information /data which required to act as the agent for the import of goods in accordance with Party B's requirements.
3.3甲方应当依照本协议约定支付代理进口货物价款、乙方代垫款项和有关费用。
3.3 Party A shall, in accordance with this Agreement, pay the price of the imported goods, Party B's advance and related expenses.
3.4 甲方应保证报关货物产品名称、规格型号、数量、进口单价、产地、装箱情况等有关信息的真实准确及合法，否则，所引起的一切经济责任及法律后果全部由甲方负责。
3.4 Party A shall guarantee the authenticity and legality of the product name, specification, quantity, import unit price, origin, packing and other relevant information of the declared goods, otherwise, all economic responsibilities and legal consequences arising thereon shall be full responsibility of Party A.
3.5 除本协议第6.5条中所规定的责任之外，甲方不得就货物灭失、货物价格变动、货物质量纠纷、货物知识产权纠纷、货物安装、维修、退货、换货等其他任何纠纷或事宜要求乙方赔偿、承担任何责任、或履行任何义务。甲方如因与境外供货商或其他方解决上述纠纷或事宜导致乙方支付有关费用或受到任何损失，甲方应当向乙方出具全额赔偿委托代理进口协议书。
3.5 In addition to the responsibilities set out in Article 6.5 hereof, Party A shall not require Party B to indemnify, assume any liability or perform any obligation in respect of any other disputes or issues such as loss of goods, variation in price of goods, dispute over quality of goods, dispute over intellectual property rights of goods, installation, repair, return or exchange of goods. Provided that Party A settles the above disputes or issues with overseas suppliers or other parties resulting in Party B paying the relevant fees or suffering any loss, Party A shall issue to Party B the agreement of full indemnity entrusted import agency.
第四条 乙方的义务、责任
Article 4 Party B's obligations and responsibilities
4.1 乙方保证其在经批准的对外贸易经营范围内进行合法经营活动。
4.1 Party B shall ensure that it conducts lawful business activities within the permitted scope of foreign trade operations.
4.2 乙方应及时向甲方通报委托业务的进度及履行乙方义务的情况。
4.2 Party B shall inform without any undue delay Party A of the progress of the entrusted business and the fulfillment of Party B's obligations.
4.3 乙方有义务办理履行代理进口时所需的各种手续。
4.3 Party B shall be obliged to go through the various formalities required for the performance of import agency.
4.4 乙方有义务为甲方保守商业秘密，未获甲方事先书面同意，不得向任何第三透露甲方客户及交易的情况，但根据有关政府机关或法院要求透露的不在此限。
4.4 Party B is obliged to keep Party A's trade secrets and shall not, without Party A's prior written consent, disclose information about Party A's customers and transactions to any third party, except where disclosure is required by the relevant government authorities or courts.
4.5 如果因乙方原因逾期交货超过三个工作日，甲方有权从逾期之日起每天按进口代理费的0.1%向乙方收取逾期交货滞纳金；逾期超过60天的，滞纳金率按每天0.5%计算。
4.5 Provided that the delivery is overdue due to Party B’ s reason for more than three working days, Party A shall be entitled to charge Party B a late delivery fee at the rate of 0.1% of the import agency fee per day from the date of overdue; where the overdue period exceeds 60 days, the late delivery fee rate shall be calculated at 0.5% per day.
第五条 代理进口货物价款、进口代理费、通关费用的支付和结算
Article 5. Payment and settlement of the price of imported goods, import agency fees and customs clearance charges
5.1代理进口货物价款及具体进口货物清单、数量和单价由委托单确认。如果甲方提供的价款明显低于国际市场行情，有可能构成虚报价格行为，乙方有权根据国际市场行情对进口货物价格进行合理调整。
5.1 The price of imported goods and the list, quantity and unit price of specific imported goods shall be confirmed by the commission order. Provided that the price provided by Party A is significantly lower than the international market price, which may constitute the act of misrepresentation, Party B has the right to make reasonable adjustments to the price of imported goods subject to the international market price.
